2. PURPOSE

These Terms and Conditions of Use (hereinafter "Terms") aim to define the terms and conditions of use of the Pivotaltasks.com Service, an online task management service (SaaS), as well as the rights and obligations of the parties in this context.

Use of the Service implies full acceptance of these Terms.

3. SERVICE DESCRIPTION

Pivotaltasks.com is a SaaS task management application allowing users to:

Create, organize and manage tasks
Assign tasks to team members
Organize tasks by projects
Optionally integrate with the Linear.com service under the user's responsibility

The Service is accessible via web browser.

4. ACCESS TO THE SERVICE

4.1 Registration

Access to the Service requires the creation of a user account. The user undertakes to:

Provide accurate and up-to-date information
Maintain the confidentiality of their credentials
Immediately inform Kimind of any unauthorized use of their account

4.2 Legal capacity

The Service is accessible to any natural person of legal age or legal entity with full legal capacity. Minors must obtain authorization from their legal representatives.

4.3 Technical requirements

The user declares that they have the necessary equipment and connections to access the Service.

5. OFFERS AND PRICING

5.1 Free offer

A free version of the Service is available with limited features.

5.2 Paid offers

Monthly subscription: €9.99 excl. VAT/month
Annual subscription: €99.99 excl. VAT/year

Prices are indicated excluding taxes. Applicable VAT will be added to the invoiced amount.

5.3 Payment terms

Payments are made by credit card or any other method offered on the Platform
Subscriptions are automatically renewable
The user can cancel their subscription at any time from their account, with cancellation taking effect at the end of the current period

5.4 Price changes

Kimind reserves the right to modify its prices at any time. New prices will be communicated to the user at least 30 days before they take effect. The user may terminate their subscription if the new prices are not suitable.

6. REFUND POLICY

In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to services fully performed before the end of the withdrawal period and whose performance began with the consumer's express prior agreement.

No refund will be made for current subscriptions, except in cases of mandatory legal obligation or major Service malfunction attributable to Kimind.

7. USER OBLIGATIONS

The user undertakes to:

Use the Service in accordance with its intended purpose and these Terms
Not infringe Kimind's intellectual property rights
Not introduce viruses, malware or any malicious code
Not attempt unauthorized access to Kimind's systems
Not use the Service for illegal, fraudulent or immoral purposes
Not collect or store personal data of third parties without their consent
Comply with applicable legislation regarding personal data protection
Assume full responsibility for their integrations with third-party services (notably Linear.com)

8. INTELLECTUAL PROPERTY

8.1 Kimind's rights

All elements of the Service (structure, software, texts, images, graphics, logo, etc.) are the exclusive property of Kimind or are used under authorization. Any unauthorized reproduction, representation, modification or exploitation is prohibited.

8.2 User's rights

The user retains all intellectual property rights to the content they create and store on the Platform (tasks, descriptions, projects, etc.).

8.3 Usage license

The user grants Kimind a non-exclusive license to use the content they publish, strictly necessary for the operation of the Service and its provision.

9. PERSONAL DATA

The processing of personal data is governed by the Privacy Policy accessible on the Site.

In accordance with GDPR and the French Data Protection Act, the user has rights of access, rectification, deletion, limitation, opposition and portability of their personal data, which they can exercise by contacting: rgpd@kimind.com

10. THIRD-PARTY INTEGRATIONS

10.1 Linear.com

The user may choose to integrate their Pivotaltasks.com account with the Linear.com service. This integration is optional and is carried out under the user's sole responsibility.

10.2 Liability

Kimind cannot be held responsible for:

The operation of integrated third-party services
The privacy and security policy of these services
Any data loss resulting from the use of these integrations

The user must consult and accept the terms of use and privacy policies of the third-party services they choose to integrate.

11. COOKIES AND TRACKERS

The Service uses technical cookies necessary for the Platform's operation and statistical cookies to improve the user experience.

Kimind does NOT use any:

Advertising cookies
Behavioral tracking cookies for commercial purposes
Data resale mechanisms

12. AVAILABILITY AND MAINTENANCE

12.1 Availability

Kimind strives to ensure optimal availability of the Service, 24/7, but cannot guarantee permanent accessibility.

12.2 Maintenance

Maintenance operations may require temporary interruption of the Service. Kimind will endeavor to inform users in advance, except in emergencies.

12.3 Service modifications

Kimind reserves the right to modify, suspend or discontinue all or part of the Service at any time, without notice or compensation.

13. LIABILITY

13.1 Limitation of liability

Kimind cannot be held responsible for:

Indirect damages, data loss, loss of profits or loss of earnings
The user's use of the Service or inability to use it
Malfunctions resulting from user fault, negligence or non-compliant use
Content created, published or shared by the user
Third-party services integrated by the user

13.2 Force majeure

Kimind cannot be held responsible for any delay or failure to perform its obligations resulting from force majeure.

14. DURATION AND TERMINATION

14.1 Duration

These Terms are concluded for an indefinite period from the user's acceptance.

14.2 Termination by the user

The user may terminate their account at any time from their account settings. Termination takes effect immediately for the free offer, and at the end of the paid period for paid subscriptions.

14.3 Termination by Kimind

Kimind may suspend or terminate access to the Service in case of:

Violation of these Terms
Fraudulent or abusive use of the Service
Non-payment of amounts due

Termination is notified by email. In case of serious breach, termination may be immediate without notice.

14.4 Consequences of termination

Upon termination, the user loses access to the Service. The user has 30 days to export their data before their permanent deletion.

15. DATA AFTER TERMINATION

After account termination, Kimind will retain the user's data for a period of 30 days to allow recovery. After this period, all data will be permanently deleted, except where legally required to be retained.

16. MODIFICATIONS TO THE TERMS

Kimind reserves the right to modify these Terms at any time. Modifications will be notified to users by email and/or via the Service at least 30 days before they take effect.

Continued use of the Service after the modifications take effect constitutes acceptance of the new Terms.

17. APPLICABLE LAW AND JURISDICTION

These Terms are governed by French law.

In the event of a dispute, the parties will endeavor to find an amicable solution. Failing this, any dispute relating to the interpretation or execution of these Terms will be subject to the exclusive jurisdiction of the courts of Paris, France.

19. GENERAL PROVISIONS

19.1 Entirety

These Terms constitute the entire agreement between the user and Kimind regarding the use of the Service.

19.2 Partial invalidity

If one or more provisions of these Terms are declared null or unenforceable, the other provisions shall retain their full force and effect.

19.3 Non-waiver

The fact that Kimind does not enforce a user's breach of any obligation under these Terms shall not be interpreted as a waiver to subsequently enforce such breach.
